Actually somewhat disappointed in this; seeing Star Wars and Empire in 3d sounded pretty interesting — what you end up with is an entirely new picture, not an 'enhancement' of the old one, rather it creates a totally different experience that can be seen on its own terms. But the anti-3d crowd is an entitled and noisy bunch, so i expect a lot of celebration over the projects demise.

Much more likely that everyone involved in the conversion could be put to better use prepping Star Wars Episode VII, especially if they plan on making that 2015 release date (which is now doubtful). And Lucasfilm's new owners Disney mightn't be too thrilled about them working on a project that benefits another distributor (20th Century Fox retains distribution rights on Episode IV in perpetuity, and V, VI, I, II & III until 2020). The Phantom Menace was always going to do the least business. Pretty sure Attack of the Clones would beat it, and in turn be beaten by Revenge Of The Sith.
